general terms

These terms and conditions apply to the sale and supply of all biomaterials, products, and services (including consulting) by Nature2world Pte. Ltd. ("Company"). By placing an order with the Company, the customer agrees to be bound by these terms and conditions.

1. Definitions

In these Terms and Conditions, the following words shall have the meanings set out below:

• "Company" and Nature2world refers to Nature2world Pte. Ltd., a company registered in Singapore.

• "Customer" means the individual or entity purchasing biomaterials, products, or services from the Company, including both business and individual consumers.

• "Products" refers to the biomaterials or any other tangible items supplied by the Company.

• "Services" means any consulting, technical support, or other professional services offered by the Company.

• "Contract" means the legally binding agreement formed between the Company and the Customer when the Company confirms acceptance of an order.

• "Delivery" means the transfer of the Products or completion of Services to the Customer in accordance with the Contract.

• "IP" refers to intellectual property, including patents, trademarks, know-how, formulations, and trade secrets.

Section 1: Terms for Sale of Biomaterials and Products

 

2. Sale and Purchase of Products

2.1. Nature2world agrees to sell and deliver, and the Buyer agrees to purchase and take delivery of, the specified quantities of Products as described in Nature2world’s Quotation, subject to these Terms and Conditions and availability.
2.2. Each sale will be governed by a Quotation and these General Terms. In the event of conflicting provisions, the Quotation will prevail.

3. Quality

3.1. The quality of the Products will conform to the specifications provided in relevant Product Instructions, unless Nature2world makes any modifications.
3.2. Products made from natural materials may contain impurities such as stones, small metal pieces, or residues of natural fibers. Minor color or property deviations are inherent to natural substances and do not constitute defects.

4. Quantities

Nature2world reserves the right to deliver up to 10% more or 10% less than the ordered quantity with an appropriate price adjustment.

5. Price and Payment

5.1. Prices are quoted in the agreed currency per unit (kg, ton, piece) of the Products.
5.2. The Buyer shall pay all bank fees for international transfers.
5.3. Payment terms, including methods (EFT, credit card, etc.), are as per the Quotation or invoice.
5.4. Delayed payments may result in suspension of deliveries, cancellation, or interest charges not exceeding 5% per month, in compliance with the Moneylenders Act.
5.5. All prices are exclusive of Goods and Services Tax (GST) where applicable.

6. Delivery

6.1. Products will be delivered per the agreed Incoterms basis or ex-works from Nature2world’s facility or distribution point, clearly specified in the Quotation.
6.2. Time of delivery is approximate and not of the essence unless explicitly stated otherwise.

7. Transfer of Title and Risk

7.1. Risk of loss or damage passes to the Buyer upon delivery as per the Incoterms.
7.2. Ownership of the Products remains with Nature2world until full payment is received.

8. Warranty

Nature2world warrants that Products will conform to the Specification at the time of delivery. Deviations due to natural variations in raw materials, impurities, or color differences do not constitute defects.

9. Liability

Nature2world’s liability for non-conformities or defects is limited to replacement or credit/refund at its discretion. No liability shall be accepted for indirect, special, or consequential damages.

Section 2: Terms for Services, Consulting, and Courses

 

10. Scope of Services

Nature2world offers innovation services, management advisory, engineering consulting, testing and certification services, training courses, and memberships. All services are governed by these Terms and any relevant agreements or quotations.

11. Service Engagement and Delivery

11.1. Each engagement for Services shall be outlined in a Quotation or agreement detailing the scope, deliverables, and schedule.
11.2. Consulting services may be provided in-person or remotely, and course delivery is either through in-person training or online platforms.

12. Fees and Payment for Services and Courses

12.1. The fees for Services and Courses are as stated in the Quotation or on Nature2world’s website.
12.2. Payment for Services and Courses is due upon receipt of the invoice unless otherwise stated. For subscriptions or memberships, recurring payments will be charged according to the terms of the subscription.
12.3. All fees related to bank transfers or credit card payments are the responsibility of the Buyer.

13. Cancellation and Refunds

13.1. Cancellation of consulting services requires one month’s written notice before the end of the current month.
13.2. Refunds for training courses or memberships shall be in accordance with the cancellation policies specified in the course or membership description. Cancellation by individual consumers shall adhere to the Consumer Protection (Fair Trading) Act (CPFTA) provisions.

14. Intellectual Property

Any intellectual property (IP) developed in the course of delivering Services or Courses shall remain the property of Nature2world unless otherwise agreed in writing. The Buyer may not use or reproduce any course materials or deliverables without prior written consent.

Section 3: General Provisions

15. Limitation of Liability

Nature2world’s liability is limited to the value of the Products or Services purchased, and Nature2world shall not be liable for any indirect, incidental, or consequential damages.

16. Governing Law

These Terms shall be governed by the laws of Singapore. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the Singapore courts.

​

17. Force Majeure

Nature2world is not liable for any failure to perform due to circumstances beyond its control, including but not limited to natural disasters, pandemics, wars, or governmental restrictions.

18. Amendments

Nature2world reserves the right to amend these General Terms and Conditions at any time. Updated Terms will be published on Nature2world’s website and will apply to all transactions thereafter.
